The undersigned purchaser ("Buyer") and Corwin Ford Nampa (“Seller”) acknowledge and agree that upon execution of this deposit receipt, Seller will incur costs and expenses in order to obtain and make available for sale to Buyer the vehicle described above. Given these expenses, Buyer has agreed to provide a non-refundable deposit in the amount specified above ,which was paid on or before the date of the last signature below. Seller hereby agrees, in consideration of payment of the non-refundable deposit, to withdraw the above described vehicle from the market and/or to make efforts to obtain and make available the vehicle for sale to Buyer. Buyer hereby understands, acknowledges, and agrees that if be or she fails to enter into aPurchase Contract with Seller after Seller has obtained and made available for purchase the vehicle described below, said NON-REFUNDABLE DEPOSIT shall be forfeited to Seller. Buyer and Seller acknowledge and agree that the deposit shall be non-refundable; provided however, that in the event of a material breach by Seller of its agreement to obtain and make available for sale the above-described vehicle, Seller shall return the deposit to Buyer and there shall be no other liability or obligation on the part of Seller or its respective officers, directors, managers, partners, members, shareholders, agents or representatives.
